Part A – General (consumers and business customers)

1. Definitions and applicability

  1. Davilon: Davilon Europe B.V., Chamber of Commerce (KvK) 96225637, based in Gouda.
  2. Consumer: a natural person not acting in the exercise of a profession or business.
  3. Business customer: any natural or legal person acting in the exercise of a profession or business, including dealers, installers, garages, resellers, (online) retailers, and leasing companies.
  4. Customer: a consumer or a business customer.
  5. Dealer: a business customer with a dealer or business account approved by Davilon, or with whom a separate dealer or cooperation agreement has been concluded.
  6. These terms and conditions apply to every offer, every quotation, and every agreement from Davilon, via davilon.eu, by e-mail, telephone, quotation, or in any other way. For purchases via a marketplace, the terms and conditions of that platform may also apply.
  7. Purchasing or other terms of the customer do not apply, unless Davilon has accepted these in writing in advance.
  8. If a provision is void or voidable, the remaining provisions remain in force. The invalid provision will be replaced by a valid provision that comes as close as possible to the intent.
  9. Davilon may amend these terms. For an agreement, the terms in force at the time of ordering apply.

2. Offer, information, and formation

  1. Davilon describes products, prices, specifications, compatibility, and availability as accurately as possible. Images are a representation and may differ in non-essential points.
  2. Obvious mistakes and clear price errors do not bind Davilon when the customer could reasonably have understood that it was an error.
  3. The agreement is formed after the order has been placed and accepted by Davilon. The automatic order confirmation is an acknowledgment of receipt.
  4. Quotations are valid for 14 days, unless stated otherwise, and are without obligation.
  5. In case of a reasonable suspicion of fraud, abuse, or unauthorized use of a payment method, Davilon may request additional verification, temporarily block processing, or cancel the order.
  6. Davilon may refuse an order or apply maximum quantities per customer, among other things, to prevent resale outside the dealer network.
  7. Minors can only enter into an agreement with the consent of their legal representative, to the extent that such consent is legally required.

3. Prices and payment

  1. Prices for consumers are in euros and include VAT. Additional costs are shown before finalizing the order.
  2. The price shown at the time of ordering applies to the order, except for an obvious error.
  3. Davilon may offer advance payment, postpaid payment, and installment payment. For external payment methods, the terms and acceptance criteria of the payment provider apply.
  4. If an amount due from a consumer remains unpaid, the consumer will first receive a free payment reminder with a term of at least 14 days. Thereafter, extrajudicial collection costs may be charged according to statutory regulations.
  5. In the event of an unjustified chargeback or payment dispute, Davilon may provide the necessary order, payment, delivery, and communication data to the payment provider, in accordance with privacy legislation and Davilon's privacy policy.

4. Delivery and shipping

  1. Shipping costs according to the current website: The Netherlands and Belgium free of charge; other EU countries € 12.95 per order; outside the EU € 19.95 per order. The rate shown in the checkout is leading.
  2. In the Netherlands and Belgium, Davilon aims for delivery within 1–2 working days for items in stock. The stated delivery times are target periods, unless a binding delivery date has been expressly agreed upon. Consumers can rescind the contract free of charge if 30 days are exceeded.
  3. Davilon may ship in partial deliveries without extra shipping costs.
  4. For deliveries outside the EU, import duties, local taxes, and clearance costs are for the account of the customer, unless stated otherwise.
  5. The customer is responsible for correct and complete delivery information. Additional costs due to an incorrect address or failure to collect a shipment may be charged, to the extent legally permitted.
  6. For consumers, the risk of loss or damage passes upon actual receipt by the consumer or a third party designated by them. For business customers, see Article 19.

5. Pre-orders, changed versions, and unavailability

  1. Pre-orders are prepaid. A stated delivery date is an expected date. In case of significant delay, the customer can choose between waiting or free cancellation with a full refund.
  2. If an item is definitively unavailable, the paid amount will be refunded or an alternative will be delivered only with the customer's consent.
  3. A newer or modified product version may be supplied when it is functionally at least equivalent. In the case of relevant differences in specifications, appearance, functionality, connection, or compatibility, Davilon will first request consent.

6. Right of withdrawal (consumers only)

  1. A consumer has a 14-day reflection period from the day after receipt of the product. After notification, the consumer has another 14 days to return the product to the address specified by Davilon in the return confirmation.
  2. Withdrawal can be done via info@davilon.eu, via an online cancellation feature on the website (if available), or in another unambiguous manner, for example with the model withdrawal form. The consumer will receive a confirmation.
  3. The direct costs of return shipment are for the account of the consumer.
  4. Davilon will refund within 14 days of notification, including standard shipping costs, using the same payment method. Davilon may wait until the product has been received or the consumer demonstrates that it has been returned.
  5. The consumer may handle and inspect the product as in a store. Use or installation beyond that (such as full installation in the car, cutting cables, modifying plugs, gluing, or assembly scratches) may lead to a deduction for depreciation. Merely opening the packaging is no reason to refuse a return.
  6. The right of withdrawal does not apply to products manufactured according to the customer's specifications or that are clearly of a personal nature, and to digital content, licenses, or activation codes once the legal conditions have been met.
  7. Bundles are in principle returned as a complete bundle. A free promotional product must be included upon full withdrawal of the main purchase. In the case of a discount code, the amount actually paid will be refunded.

7. Compatibility and vehicle data

  1. The suitability of car radios, CarPlay/Android Auto systems, cameras, interfaces, CANBUS decoders, cable sets, and other vehicle-specific electronics depends on the make, model, year of manufacture, version, factory options, and available connections.
  2. The customer must provide requested vehicle data, photos, and checks accurately and completely. A vehicle filter or compatibility list on the website is not individual advice when additional data is required.
  3. If Davilon demonstrably advises an incorrect product based on accurate and complete information, Davilon will provide a suitable free-of-charge solution. If the customer chooses otherwise in deviation from the advice or their data is incorrect, the responsibility for that choice lies with the customer.

8. Warranty and conformity

  1. Products have the characteristics that the customer may expect based on the agreement. Consumers are always entitled to the legal warranty; the duration depends on the nature and price of the product and the circumstances.
  2. An additional (commercial) warranty from Davilon only applies when it has been explicitly offered with the product or purchase, and it never limits the legal rights of the consumer.
  3. In a justified case of non-conformity, Davilon will provide free repair or replacement within a reasonable time. Necessary repair, replacement, and shipping costs will not be charged to the consumer in that case.
  4. There is no claim to warranty for defects that have demonstrably arisen from incorrect or improper installation, incorrect voltage, short circuit, moisture, fire, damage from dropping or impact, normal wear and tear, external influences, or unauthorized physical modification or software/firmware changes.

9. Diagnosis, investigation, and data

  1. In case of technical problems, Davilon may first request a reasonable remote diagnosis, such as following the manual, performing checks, and providing photos or videos. This does not limit the legal burden of proof for consumers.
  2. If, after investigation, it appears that there is no defect or that the cause lies in an exclusion under Article 8.4, reasonable investigation, service, and shipping costs may be charged, provided the customer has been informed in advance.
  3. The customer is responsible for backing up their own data and settings. Data may be lost during reset, update, repair, or replacement.

10. Software, firmware, apps, and third-party services

  1. Products may contain software or firmware. The customer is granted a non-exclusive right of use for use with the relevant product. It is not permitted to copy, decrypt, or modify the software, except to the extent that the law mandatorily allows.
  2. Davilon may make updates available. Consumers receive the updates that are legally necessary to keep the product in conformity. Installing software or firmware not provided by Davilon is at one's own risk.
  3. Features that rely on third-party services, such as Apple CarPlay, Android Auto, apps, maps, streaming, or DAB+ reception, may be modified or limited by those third parties. Davilon does not guarantee the availability and operation of third-party services, subject to mandatory law.

11. Use and safety in traffic

  1. The customer uses products according to the manual and the applicable traffic and vehicle regulations. Operation while driving is at one's own responsibility.
  2. Cameras and dashcams must be used in compliance with privacy legislation. The customer is responsible for lawfully recording, storing, and sharing images.
  3. Installation affects the vehicle's electrical system. Davilon recommends installation by a professional installer. Any consequences for the vehicle's factory warranty, insurance, or inspections are for the account of the customer, subject to Davilon's liability under the law.

12. Incorrect delivery, transport damage, and missing parts

  1. An incorrectly delivered product will be corrected free of charge. The customer will not pay return costs in that case.
  2. Consumers should report visible transport damage, incorrect deliveries, or missing parts as soon as possible, preferably within 14 days and with photos. This does not limit the statutory rights of consumers. Article 20 applies to business customers.

13. Liability (consumers)

  1. Davilon is not liable for damage, unless and insofar as mandatory law provides otherwise.
  2. In any event, Davilon is not liable for indirect or consequential damage, for damage caused by incorrect installation or assembly, and for damage caused by improper use or failure to follow instructions.
  3. These limitations do not apply in cases of intent or willful recklessness on the part of Davilon. They do not affect the consumer's statutory rights regarding a non-conforming product (repair, replacement, or refund) or product liability.

14. Force majeure

  1. Davilon is not liable for any failure resulting from circumstances beyond its reasonable control, such as malfunctions or shortages at suppliers and carriers, supply delays, epidemics, war, sanctions, natural disasters, cyberattacks, or government measures, within the limits of mandatory consumer law.
  2. If the force majeure situation lasts longer than 60 days, both parties may dissolve the agreement for the portion not yet executed. Amounts already paid for products not delivered will be refunded.

15. Complaints and disputes

  1. Complaints can be reported via info@davilon.eu. Davilon will respond substantively within 14 days or indicate within that period when the customer can expect a substantive answer.
  2. If parties cannot resolve the matter together, a consumer may submit the dispute to the competent court or a dispute resolution body with which Davilon may be affiliated, as stated on the website.

16. Intellectual property

  1. All rights to the brand name Davilon, logos, product names, images, manuals, texts, and software vest in Davilon or its licensors.
  2. It is not permitted to use, copy, or publish these without prior written consent, except to the extent permitted to dealers under Article 25.

17. Personal data

Davilon processes personal data in accordance with applicable privacy legislation and the privacy policy at davilon.eu/policies/privacy-policy. Data of end customers provided to Davilon by a dealer (e.g., in the case of dropshipment or a warranty claim) will only be used for the execution of that order.

Part B – Additional terms for business customers (B2B)

Part B applies to every business customer in addition to Part A. In the event of a conflict, Part B shall prevail. A separate written dealer or cooperation agreement shall prevail over these terms.

18. Business account, pricing, and ordering

  1. Davilon may grant a business or dealer account based on Chamber of Commerce and VAT registration details. Davilon may refuse an application without stating reasons, and may suspend or terminate an account in the event of abuse, payment arrears, or acting in violation of these terms.
  2. Business prices and price lists are in euros and exclusive of VAT, unless stated otherwise. Davilon may change prices from time to time. For placed and confirmed orders, the prices at the time of confirmation apply, except in the case of a demonstrable, exceptional increase in purchase prices, exchange rates, levies, or transport costs of more than 5% prior to delivery. In such cases, the business customer may cancel the order free of charge.
  3. Davilon may apply a minimum order value, minimum quantity per item, or shipping surcharges for small orders, as stated in the account or price list.
  4. Discounts, price brackets, and bonuses apply only as long as they have been agreed upon in writing and the business customer meets the associated conditions.
  5. For deliveries within the EU to a business customer with a valid VAT identification number, VAT may be reverse-charged (intra-community supply). The business customer guarantees the accuracy of their information. If the VAT number becomes invalid or the required proof is missing, Davilon may still charge VAT.
  6. An order placed and confirmed by the business customer can only be cancelled or modified with the written consent of Davilon. Davilon may charge costs already incurred and at least 15% of the order value. Cancellation is not possible for specially ordered, configured, or custom-made products.

19. Delivery, risk, and delivery time (B2B)

  1. The risk of loss and damage transfers to the business customer at the moment the products are handed over to the carrier, unless another Incoterm has been agreed upon in writing.
  2. Delivery times are indicative and not deadlines. Exceeding them does not entitle the customer to compensation or dissolution, unless the delay exceeds 30 days and Davilon fails to deliver after a written notice of default with a reasonable time frame.
  3. If the business customer refuses a delivery or fails to accept it, Davilon may store the products at the customer’s expense and risk and charge the costs of storage and re-shipment.
  4. In the case of dropshipment (delivery on behalf of the dealer to their end customer), the dealer remains the seller towards their end customer and is responsible for correct address and customer details.

20. Inspection upon receipt and complaint periods (B2B)

  1. The business customer must inspect the products immediately upon receipt for quantities, correct items, and visible damage. Visible transport damage should be noted on the waybill or delivery receipt where possible.
  2. Visible defects, incorrect deliveries, and missing quantities must be reported in writing and with photos within 7 days of receipt. Hidden defects must be reported within 7 days of discovery or after they could reasonably have been discovered, and at the latest within 12 months of delivery.
  3. After the expiry of these periods, all claims of the business customer in this regard lapse.
  4. A complaint does not suspend the business customer’s payment obligation.

21. Returns and RMA procedure (B2B)

  1. Business customers have no statutory right of withdrawal. Davilon does not grant a general right of return to business customers, unless agreed otherwise in writing in advance.
  2. Every return (including for warranty) requires an RMA number provided by Davilon in advance. Returns without an RMA number may be refused or returned at the expense of the business customer.
  3. If Davilon voluntarily accepts a commercial return, the product must be new, unused, complete, and in its undamaged original packaging. Davilon may deduct a 15% handling fee and any depreciation. Return costs are borne by the business customer. Specially ordered, configured, or custom-supplied products are excluded.
  4. For a warranty or RMA request, the business customer must provide: order number or invoice number, serial number (if available), vehicle (make, model, year), a clear description of the fault, the result of the diagnosis performed, and photos or videos.
  5. If no defect is found during inspection (no fault found) or the defect falls under an exclusion, Davilon may charge for investigation, handling, and shipping costs.

22. Warranty for business customers

  1. Davilon warrants that products will be free from material and manufacturing defects for 12 months after delivery to the business customer, unless another period is specified for a product.
  2. In the event of a valid claim, Davilon chooses between repair, replacement, or crediting the invoice price. This fully satisfies Davilon’s obligations.
  3. Labor costs, installation and removal costs, call-out fees, replacement transport, third-party diagnosis, and other costs incurred by the business customer or their end customer will not be reimbursed, unless Davilon has agreed to this in writing in advance.
  4. The exclusions in Article 8.4 also apply. Furthermore, the warranty expires in case of installation not performed in accordance with the manual or professional standards, or if serial numbers or seals have been removed or damaged.
  5. If a dealer sells products to consumers, the dealer remains responsible towards their consumer for the statutory warranty. Davilon supports the dealer in this according to this article.

23. Payment, credit, and security (B2B)

  1. Unless agreed otherwise, a business customer pays in advance. Upon approval, Davilon may supply on account with a payment term of 14 days from the invoice date.
  2. Davilon may apply a credit limit, request credit information, and demand prepayment or security before making (further) deliveries.
  3. In case of late payment, the business customer is in default without a notice of default and owes statutory commercial interest. All extrajudicial collection costs are for their account, with a minimum of 15% of the outstanding amount (with a minimum of € 40), plus any judicial costs.
  4. In the event of payment arrears, Davilon may suspend all current orders, block the account, and make all outstanding claims immediately due and payable.
  5. The business customer may not offset amounts against claims against Davilon or suspend their payment. Davilon may offset against what it owes the business customer.
  6. In the event of bankruptcy, suspension of payment, attachment, liquidation, or acquisition of the business customer, Davilon may dissolve the agreement in whole or in part without being liable for damages.

24. Retention of title (B2B)

  1. All supplied products remain the property of Davilon until the business customer has fully paid all claims arising from all agreements with Davilon, including interest and costs (extended retention of title).
  2. As long as title has not passed, the business customer may only resell or install the products in the normal course of business. They may not pledge or otherwise encumber them and must store them so they are identifiable as the property of Davilon.
  3. If the business customer fails to fulfill their obligations, Davilon may reclaim the products. To this end, the business customer grants Davilon access to their business premises. Davilon may also exercise a right of retention on products of the business customer in its possession.

25. Dealers and resale

  1. A dealer acts in their own name and for their own account and is not authorized to represent or bind Davilon.
  2. A dealer may only use the brand name, logos, product photos, and product texts of Davilon to offer Davilon products and in accordance with the guidelines provided by Davilon. They shall not create the impression of being an official branch or an exclusive partner of Davilon, unless agreed otherwise in writing. Use ends immediately upon termination of the cooperation.
  3. A dealer shall not offer products via marketplaces, domain names, or advertisements that use the Davilon brand name in a way that causes confusion, and shall not register any domain names, trademarks, or accounts with the name Davilon.
  4. A dealer is free to determine their own selling prices. Recommended prices from Davilon are not binding.
  5. A dealer shall provide their customers with correct information about the products, supply manuals and safety information, and comply with applicable laws and regulations, including consumer, privacy, environmental, and (packaging) waste regulations.
  6. At Davilon’s request, a dealer shall follow safety notices, recalls, or software updates and provide cooperation, including by providing relevant delivery data.
  7. A dealer shall not resell products to countries or parties subject to sanctions or export restrictions.

26. Installation by business customers

  1. An installer, garage, or dealer who installs products does so under their own responsibility and in accordance with the manual and professional standards. They must check compatibility with the vehicle before installation.
  2. Davilon is not liable for damage to vehicles, electrical systems, airbags, board computers, batteries, or other vehicle systems resulting from installation, connection, or configuration by the business customer or their employees.
  3. Technical support provided by Davilon to business customers (by phone, email, or remotely) is a free service provided to the best of its ability and does not create liability for the execution of the installation.

27. Liability and indemnification (B2B)

  1. Davilon is not liable to a business customer for any damage, direct or indirect, except in the case of intent or willful recklessness by the management of Davilon. If liability is nevertheless accepted, it is limited to the invoice amount (excluding VAT) of the relevant product.
  2. Davilon is never liable for indirect damage, including consequential damage, loss of profit, loss of turnover, missed savings, business interruption, delay damage, reputational damage, costs of replacement transport, and damage suffered by third parties or end customers.
  3. Any claim against Davilon expires if it has not been submitted in writing to Davilon within 12 months after the business customer became aware or could have become aware of the damage.
  4. The business customer indemnifies Davilon against all claims from third parties, including their end customers, related to the installation, resale, or use of the products, with information or promises provided by them, or with failure to comply with these terms, except in case of intent or willful recklessness by Davilon.
  5. The limitations in this article do not apply in the event of intent or willful recklessness by Davilon or its executives.

28. Confidentiality

Business customers shall keep price lists, purchasing terms, dealer discounts, technical documentation, and other confidential information of Davilon secret and use them only for the cooperation with Davilon.

Part C – Final Provisions

29. Governing law and competent court

  1. Dutch law applies to all agreements with Davilon. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
  2. A consumer retains the protection of mandatory law of their country of residence.
  3. Disputes with business customers shall be submitted exclusively to the competent court in the district of The Hague, insofar as this is legally permitted.
